1. Introduction

Welcome to Calloptima ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website, services, and any related materials (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

2. Services Provided

Calloptima designs, builds and optimizes voice AI systems on your infrastructure or on the platforms you already use, and provides related compliance engineering and development and QA staff. The specific scope, deliverables, timelines, and fees for any engagement will be outlined in a separate Statement of Work (SOW) or services agreement signed by both parties.

3. Client Responsibilities

To ensure the success of our engagements, you agree to:

Provide timely access to necessary systems, data, and personnel.
Ensure that any data or materials you provide do not violate third-party rights or applicable laws.
Remain responsible for hosting and operating your voice AI systems, unless an SOW states otherwise.

4. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared during the course of our engagement. A separate Non-Disclosure Agreement (NDA) may be executed prior to the commencement of specific services.

5. Intellectual Property

Unless otherwise agreed in writing, code and other deliverables created specifically for your organization become your property upon full payment of fees. Calloptima retains all intellectual property rights to its pre-existing methodologies, frameworks, templates, and tools, and grants you a non-exclusive, perpetual license to use any of them included in your deliverables for your internal business purposes.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Calloptima shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to our Services. Our total liability for any claims arising under these Terms shall not exceed the total fees paid by you to us in the three (3) months preceding the claim.

7. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Poland and the European Union, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Poland.

8. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page and updating the "Last updated" date.
